MealMe Connect Terms of Service

Welcome to MealMe Connect! These Terms of Service ("Terms") govern your access to and use of MealMe Connect, a product of MealMe, Inc. ("MealMe," "we," "our," or "us"). MealMe Connect allows you to connect your accounts with supported retailers, marketplaces, and delivery platforms to enable seamless ordering and data sharing within third-party applications.
Please read these Terms carefully before using MealMe Connect. By using the service, you agree to be bound by these Terms.
1. Overview of MealMe Connect
MealMe Connect enables you to link your accounts from supported retail and delivery services (such as grocery stores, restaurant platforms, and third-party marketplaces) with apps and services that you choose. Once linked, MealMe Connect can facilitate product discovery, ordering, availability tracking, and access to your historical and current transaction data—all with your consent.

2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use MealMe Connect. By using the service, you represent and warrant that you meet these requirements.

3. Account Access, Order Placement, & Data Sharing

When you connect an account through MealMe Connect, you authorize MealMe to access and retrieve information on your behalf from supported services. This may include, but is not limited to:

Your past and upcoming orders

Available menus or product listings

Order tracking and delivery status

Loyalty or reward balances
In addition, by connecting your account, you authorize MealMe to:

Place orders on your behalf through supported services using the payment method(s) you have stored with those services or within the application you are using

Charge your card on file or other available payment methods to complete these transactions

Share relevant order and transaction data with the app or service you are using, in accordance with your permissions

4. Your Responsibilities
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your accounts. You must ensure that the information you provide to us is accurate and up-to-date. You may not use MealMe Connect for any unlawful or abusive purpose.

5. Privacy
Your privacy is important to us. Our Privacy Policy (also on this page) explains how we collect, use, and share your information when you use MealMe Connect. By using the service, you agree to our Privacy Policy.

6. License and Restrictions
MealMe grants you a limited, non-exclusive, non-transferable, revocable license to use MealMe Connect for personal, non-commercial purposes, or for commercial purposes only as authorized by MealMe in writing.
You agree not to:
Reverse engineer, decompile, or disassemble any part of the service
Use MealMe Connect to develop a competing product or service
Use automated systems or software to extract data without written permission

7. Service Availability and Modifications
MealMe Connect is provided "as is" and "as available." We may update, suspend, or discontinue the service at any time, with or without notice. We are not liable for any interruption or loss of service.

8. Termination
You may stop using MealMe Connect at any time. We may suspend or terminate your access to the service if you violate these Terms or if we believe your use presents a security risk or legal liability.

9. Disclaimers and Limitation of Liability
To the fullest extent permitted by law, MealMe and its affiliates disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
In no event will MealMe be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of MealMe Connect.

10. Dispute Resolution
Any disputes arising from these Terms will be resolved through binding arbitration, unless otherwise required by law. You agree to waive your right to a jury trial and to participate in class action lawsuits.

11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or service you’re using or by other reasonable means. Your continued use of MealMe Connect constitutes your acceptance of the updated Terms.

MealMe API and SDK Terms of Use

PLEASE READ THE TERMS AND CONDITIONS CAREFULLY. THESE TERMS OF USE (“Terms”) CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND MEALME, INC. (“MealMe”). YOU MAY NOT USE THE SERVICES IF YOU DO NOT AGREE TO THESE TERMS.
1.Scope of Use
MealMe provides this mobile application (MealMe) (the “App”),website (www.MealMe.ai), and SDK (sdk.mealme.ai) (the “Site”, and collectively with the App, the “Services”) to you, the user of the Services (“you” or “your”), for your informational, noncommercial use, and subject to these Terms. For the purpose of the following Terms, references to “we”, “us” and “our” include MealMe and its affiliates, subsidiaries, agents, representatives, successors and assigns. Using the Services to evaluate whether to enter into a business relationship with us will not constitute a commercial use for the purposes hereof. It is a violation of these Terms for you to use the Services in violation of any applicable laws and regulations or in violation of the rules of any of our service providers. Certain other programs or services provided by us through linked websites or other channels may have additional terms and conditions regarding your use of those services, and nothing in these Terms is intended to modify such terms and conditions. Subject your compliance with these Terms and all applicable international, federal, state and local laws, rules, and regulations, we grant you a limited, revocable, nonexclusive, non-sublicenseable, non-transferable, license to use the Services solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You may only access and use the Services on devices that you own or control, and you may not use the Services on devices where you do not have all necessary permissions and rights to use the Services. You acknowledge that these Terms are concluded between you and us only, and not Apple Inc. or Google LLC (collectively, the “App Providers”).
2.Modifications
We reserve the right to modify the Services and the rules and regulations governing its use at any time, including, without limitation, these Terms. Modifications will be posted on the Services and the “Last Updated” date at the top of this webpage will be revised. You understand and agree that if you use the Services after the date on which the Terms have changed, we will treat your use as acceptance of the updated Terms. We may make changes in the services described in the Services at any time without prior notice to you.
3. Restrictions on Use
You will not use the Services for any use other than the business purpose for which it was intended. You will not take any of the following actions with respect to the Services or the server hosting the Services nor will you use our Services to upload, post, email, distribute, transmit, link, solicit or otherwise make available any content or use the Services in any manner that: (i) uploads or transmits any unsolicited advertising, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitation, commercial or otherwise; (ii) decompiles, uses reverse engineering, disassembles, derives the source code of or decrypts the Services or server hosting the Services; (iii) manipulates or otherwise displays the Services by using framing, mirroring or similar navigational technology or directly links to any portion of the Services; (iv) uses any robot, spider, scraper or other automatic or manual means to access the Services or copies any content or information on the Services; (v) removes, obscures, or alters any proprietary notices (including any notice of copyright or trademark) of us or our affiliates, partners, suppliers or our licensors; (vi) modifies, adapts, improves, enhances or makes any derivative work from the Services; (vii) disables, overburdens, impairs or otherwise interferes with or interrupts the Services or any hardware, software, system or network connected with the Services; (viii) probes, scans, or tests the vulnerability of or breach the authentication measures of the Services or any related networks or systems; (ix) interferes with any other party’s use and enjoyment of the Services; (x) infringes the copyright, trademark or any proprietary rights or discloses a trade secret or confidential information in violation of a confidentiality or non-disclosure agreement; (xi) compiles, uses, downloads or otherwise copies any user information or any portion thereof, or transmits, provides or otherwise distributes (whether or not for a fee) such information to any third party; (xii) is fraudulent, malicious or unlawful, unauthorized or contains defamatory or illegal information, images, materials or descriptions; (xiii) promotes or provides instructions for illegal activities; (xiv) encourages any conduct that would constitute a criminal offense or that gives rise to civil liability; (xv) disseminates viruses or other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware; (xvi) attempts to gain unauthorized access to any other accounts, computer systems or networks connected to any server or systems through hacking, password mining or any other means; or (xvii) accesses systems, data or information that we do not intend to be made accessible to you. Use of the Services is limited to persons eighteen (18) years of age or older.
4.Privacy Statement
You may view a copy of our Privacy Statement on this page (“Privacy Statement”), which explains our practices relating to the collection and use of your information through or in connection with our Services. The Privacy Statement is incorporated into these Terms, and governs our use of your information and/or any information you submit or otherwise make available to us in connection with the Services.
5.Merchants Are Independent
You understand and agree that MealMe provides a technology platform connecting you with independent food service providers and others that provide the products offered through the Services (“Merchants”). You acknowledge and agree that MealMe does not itself prepare food or offer delivery services, and has no responsibility or liability for the acts or omissions of any Merchant. Merchant is the retailer; the services offered by MealMe pursuant to these Terms do not include any retail services or any food preparation or delivery services. MealMe is not in the delivery business nor is it a common carrier. MealMe provides a technology platform facilitating the transmission of orders by you to Merchants for pickup by you or delivery by Merchants. MealMe will not assess or guarantee the suitability, legality or ability of any Merchant. You agree that MealMe is not responsible for the Merchants’ food preparation or the safety of the food or whether the photographs or images displayed through the Services accurately reflect the food prepared and/or delivered by the Merchants, and does not verify Merchants’ compliance with applicable laws or regulations. MealMe has no responsibility or liability for acts or omissions by any Merchant.
You agree that the goods that you purchase will be prepared by the Merchant you have selected, that title to the goods passes from the Merchant to you at the Merchant’s location, and that, for delivery orders, the Merchant will be directed by your instructions to transport the products to your designated delivery location. You agree that MealMe neither holds title to nor acquires any ownership interest in any goods that you order through the Services.
6.Registration, Access & Security
If you use any of our services or provide us any information through the Services, such as your name, age, credit card information, address, zip code, phone number, contact details, email address, and/or your password (collectively, your “Account Data”) for any accounts associated with you (your “Account(s)”), you agree to provide true, accurate, current, complete and up-to-date information. If you provide any information that is untrue, inaccurate, non-current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, non-current or incomplete, then we have the right to terminate or refuse any and all current or future access or use of the Services (or any portion thereof). We reserve the right to take any action that we deem necessary to ensure the security of the Services and your Account, including without limitation terminating your Account or requesting additional information to authorize transactions on your Account. You are solely responsible for keeping your Account Data and any username, password, security questions and responses associated with your Account confidential. Anyone with knowledge of or access to your Account Data or the security questions and responses associated with your Account can use that information to gain access to your Account. You are solely liable for any claims, damages, losses, costs or other liabilities resulting from or caused by any failure to keep your Account Data and the security questions and responses confidential, whether such failure occurs with or without your knowledge or consent. You must immediately notify us of any suspected or actual unauthorized access to or use of your Account Data or any other breach of your Account security.
You are responsible for providing and maintaining, at your own risk, option and expense, any hardware, software and communication lines required to access and use the Services, and we reserve the right to change the access configuration of the Services at any time without prior notice.
7.Payment Terms
Prices & Charges
You understand that: (a) the prices for menu or other items displayed through the Services may differ from the prices offered or published by Merchants for the same menu or other items and/or from prices available at third-party websites and that such prices may not be the lowest prices at which the menu or other items are sold; (b) MealMe has no obligation to itemize its costs, profits or margins when publishing such prices; and (c) MealMe reserves the right to change such prices at any time, at its discretion. For certain transactions, the subtotals shown at checkout are estimates that may be higher or lower depending on the final in- store totals. In those situations, MealMe reserves the right to charge your payment method the final price after checkout. You are liable for all transaction taxes on the Services provided under these Terms (other than taxes based on MealMe’s income). In the event that the charge to your payment method may incorrectly differ from the total amount, including subtotal, fees, and gratuity, displayed to you at checkout and/or after gratuity is selected, MealMe reserves the right to make an additional charge to your payment method after the initial charge so that the total amount charged is consistent with the total amount displayed to you at checkout and/or after gratuity is selected. All payments will be processed by MealMe or its payments processor. If your payment details change, your card provider may provide us with updated card details. We may use these new details or details from other cards on file in order to help prevent any interruption to your Use of the Services. If you would like to use a different payment method or if there is a change in payment method, please update your billing information.
No Refunds
Charges paid by you for completed and delivered orders are final and non-refundable. MealMe has no obligation to provide refunds or credits, but may grant them, in each case in MealMe’s sole discretion.
Promotional Offers and Credits
MealMe, at its sole discretion, may make promotional offers with different features and different rates to any user. These promotional offers are subject to the terms of this Agreement and may be valid only for certain users as indicated in the offer. You agree that promotional offers: (i) may only be used by the intended audience, for the intended purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public, unless expressly permitted by MealMe; (iii) are subject to the specific terms that MealMe establishes for such promotional offer; (iv) cannot be redeemed for cash or cash equivalent; and (v) are not valid for use after the date indicated in the offer. MealMe reserves the right to withhold or deduct credits or benefits obtained through a promotion in the event that MealMe determines or believes that the redemption of the promotion or receipt of the credit or benefit was in error, fraudulent, illegal, or in violation of the applicable promotion terms or this Agreement. MealMe reserves the right to modify or cancel an offer at any time. MealMe may also offer gratuitous credits, which can be used for the Services. Any credit issued by MealMe is valid for 6 months from the date of issue except to the extent prohibited under applicable law and may not be redeemed for cash or cash equivalent. Upon expiration, credits will be removed from your account. Expired credits are no longer redeemable and cannot be used towards any order.
Fees for Services and Payment Processing
MealMe may change the fees for our Services as we deem necessary or appropriate for our business. MealMe may also charge merchants fees on orders that you place through the Services, including commissions and other fees, and may change those merchant fees as we deem necessary or appropriate for our business or to comply with applicable law. In the MealMe SDK, MealMe is the payment processor and serves at the merchant of record. MealMe is a separate entity from the merchant or retailer, and acts as an intermediary between the merchant and the payment processor or acquiring bank. With the MealMe SDK, MealMe is responsible for managing the customer relationship when it comes to customer support, refunds, and chargebacks, which is why there may be service fees.

8.No Warranties
THE SERVICES AND ALL MATERIALS ON THE SERVICES ARE PROVIDED TO YOU ON AN “AS-IS,” “AS-AVAILABLE” BASIS AND WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF THE SERVICES OR ANY SERVICES, PRODUCTS, INFORMATION, OPINIONS, AND MATERIALS AVAILABLE THROUGH THE SERVICES. YOU ARE RESPONSIBLE FOR VERIFYING ANY INFORMATION YOU OBTAIN FROM THE SERVICES BEFORE RELYING ON IT. USE OF THE SERVICES IS AT YOUR SOLE RISK. WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT USE OF THE SERVICES OR THE MATERIALS PROVIDED THROUGH THE SERVICES WILL BE UNINTERRUPTED, COMPLETELY SECURE, VIRUS-FREE, OR ERROR-FREE. EXCEPT AS EXPRESSLY SET FORTH IN SECTION ENTITLED “LIMITATION OF LIABILITY” BELOW, YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SERVICES SHALL BE TO DISCONTINUE USING THE SERVICES. YOU ACKNOWLEDGE THAT, TO MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP PROVIDERS PROVIDE NO WARRANTY OR REPRESENTATION REGARDING THE APP.
9.Trademarks
All trademarks, service marks and logos that are used or displayed on the Services are owned by us or our licensors. You must obtain our written permission prior to using any trademark or service mark of ours. Unauthorized use of any trademarks, service marks or logos used on the Services may be a violation of state, national and international trademark laws. Additionally, our custom icons, graphics, logos and scripting on the Services may be covered by trademark, trade dress, copyright or other proprietary right law, and may not be copied, modified or used, in whole or in part, without our prior written permission.
10.User Content
User Content
MealMe may provide you with interactive opportunities through the Services, including, by way of example, the ability to post ratings and reviews (collectively, “User Content”). You represent and warrant that you are the owner of, or otherwise have the right to provide, all User Content that you submit, post and/or otherwise transmit through the Services. You further represent and warrant that any User Content that you submit, post and/or otherwise transmit through the Services (i) does not violate any third-party right, including any copyright, trademark, patent, trade secret, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) does not contain material that is false, intentionally misleading, or defamatory; (iii) does not contain any material that is unlawful; (iv) does not violate any law or regulation; and (v) does not violate this Agreement. You hereby grant MealMe a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicenseable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use the User Content in connection with MealMe’s business and in all forms now known or hereafter invented (“Uses”), without notification to and/or approval by you. You further grant MealMe a license to use your username, first name and last initial, and/or other user profile information, including without limitation, your ratings history, to attribute User Content to you in connection with such Uses, without notification or approval by you. You agree that this license includes the right for other users to access and use your User Content in conjunction with participation in the Services and as permitted through the functionality of the Services. In the interest of clarity, the license granted to MealMe herein shall survive termination of the Services or your account. MealMe reserves the right in its sole discretion to remove or disable access to any User Content from the Services, suspend or terminate your account at any time, or pursue any other remedy or relief available under equity or law if you post any User Content that violates this Agreement or any community or content guidelines we may publish or that we consider to be objectionable for any reason. You agree that MealMe may monitor and/or delete your User Content (but does not assume the obligation) for any reason in MealMe’s sole discretion. MealMe may also access, read, preserve, and disclose any information as MealMe reasonably believes is necessary to (a) satisfy any applicable law, regulation, legal process, or governmental request, (b) enforce this Agreement, including investigation of potential violations hereof, (c) detect, prevent, or otherwise address fraud, security, or technical issues, (d) respond to support requests, or (e) protect the rights, property or safety of MealMe, its users and the public.
Feedback
You agree that any submission of any ideas, suggestions, and/or proposals to MealMe through its suggestion, feedback, wiki, forum or similar pages (“Feedback”) is at your own risk and that MealMe has no obligations (including without limitation, obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback and you hereby grant to MealMe a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicenseable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use such Feedback.
Ratings and Reviews
To the extent that you are asked to rate and post reviews of Merchants or other businesses (“Ratings” and “Reviews”), such Ratings and Reviews are considered User Content and are governed by this Agreement. Ratings and Reviews are not endorsed by MealMe and do not represent the views of MealMe or its affiliates. MealMe shall have no liability for Ratings and Reviews or for any claims for economic loss resulting from such Ratings and Reviews. Because we strive to maintain a high level of integrity with respect to Ratings and Reviews posted or otherwise made available through the Services, you agree that: (i) you will base any Rating or Review on first-hand experience with the Merchant or business; (ii) you will not provide a Rating or Review for any Merchant or business for which you have an ownership interest, employment relationship or other affiliation or for any of that company’s competitors; (iii) you will not submit a Rating or Review in exchange for payment, free food items, or other benefits from a Merchant or business; (iv) any Rating or Review you submit will comply with the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising; and (v) your Rating or Review will comply with the terms of this Agreement. If we determine, in our sole discretion, that any Rating or Review could diminish the integrity of the Ratings and Reviews or otherwise violates this Agreement, we may remove such User Content without notice.
11.Copyright Infringement Notification
We respect the intellectual property rights of authors. To assist copyright owners, we have appointed an agent to receive notifications of claims of copyright infringement regarding materials available or accessible on, through, or in connection with our Services and services in compliance with Section 512 of Title 17 of the United States Code (“Copyright Act”). Any person authorized to act for a copyright owner may notify us of such claims by contacting our “Designated Agent”: Will Said, MealMe, Inc., 733, Mclendon Drive, Scottdale, GA 30079 ; support@mealme.ai; and providing all relevant information, including a description of the copyrighted work that you claim has been infringed upon, a description of where such material is located on the Services, a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law, a statement made by you under the penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner, your address, telephone number and email address, a physical signature of the person authorized to act on behalf of the copyright owner, and any other information as may be required by Title 17, Section 512(c)(3) of the Copyright Act. The contact information for the Designated Agent is also available from the Register of Copyrights. 13.Indemnity

YOU UNDERSTAND AND AGREE THAT WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR SPECIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE APP, INCLUDING, WITHOUT LIMITATION, ANY MATERIALS, SERVICES AND/OR PRODUCTS WE HAVE PROVIDED TO YOU ON OR THROUGH THE APP, WHETHER OR NOT YOU HAVE PURCHASED OR PROVIDED ANY CONSIDERATION FOR SUCH, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING BUT NOT LIMITED TO: (A) ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY LAW ENFORCEMENT AUTHORITIES REGARDING YOUR OR ANY OTHER PARTY’S USE OF THE APPS; (B) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS; (C) ANY DAMAGE TO ANY USER’S COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT OR TECHNOLOGY; (D) RELIANCE BY ANY PARTY ON ANY CONTENT OBTAINED THROUGH USE OF THE APP; OR (E) WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, THEFT OR DESTRUCTION OF, OR UNAUTHORIZED ACCESS TO THE APP, OR RELATED INFORMATION OR PROGRAMS, THAT ARISE IN CONNECTION WITH: (1) MISTAKES OR OMISSIONS IN, OR DELAYS IN TRANSMISSION OF, INFORMATION TO OR FROM THE USER; (2) INTERRUPTIONS IN TELECOMMUNICATIONS CONNECTIONS TO THE APP; OR (3) VIRUSES.
OUR TOTAL LIABILITY TO YOU FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES WILL BE LIMITED TO THE AMOUNT YOU HAVE PAID FOR THE USE OF THE APP, IF ANY, AND IF YOU HAVE PAID NO AMOUNT, THEN FIFTY UNITED STATES DOLLARS ($50.00). YOU ALSO ACKNOWLEDGE AND AGREE THAT YOU HAVE VIEWED OR USED THE APP WITH A FULL UNDERSTANDING OF THE LIMITATION OF OUR LIABILITY IN THESE TERMS.

The following terms apply to any App accessed through or downloaded from any App Provider. You acknowledge and agree that:

These Terms are concluded between you and MealMe, and not with the App Provider, and that MealMe (not the App Provider), is solely responsible for the App.

To the extent you obtain an App from the Apple App Store, any licenses granted hereunder for the use of the App are limited to a license to use the App on any Apple-Platformed Products that you own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service, except that the App may be accessed and used by other accounts associated with you via family sharing or volume purchasing.

Unless expressly stated otherwise in writing by the App Provider, the App Provider has no obligation to furnish any maintenance and support services with respect to the App.

You may notify the App Provider in the event of any failure of the App to conform to any applicable warranty, and the App Provider will refund the purchase price for the App to you (if applicable) and to the maximum extent permitted by applicable law, the App Provider will have no other warranty obligation whatsoever with respect to the App. To the extent that MealMe is not the App Provider, any claims, losses, liabilities, damages, costs or expenses other than the purchase price attributable to any failure to conform to any warranty will be the sole responsibility of MealMe in accordance with these Terms.

The App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the App or your possession and use of the App, including, but not limited to: (A) product liability claims; (B) any claim that the App fails to conform to any applicable legal or regulatory requirement; or (C) claims arising under consumer protection or similar legislation.

In the event of any third party claim that the App or your possession and use of that App infringes that third party’s intellectual property rights, MealMe, and not App Provider, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim to the extent required by these Terms.

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

The App Provider, and its subsidiaries, are third party beneficiaries of these Terms as related to your license of the App, and that, upon your acceptance of the terms and conditions of these Terms, the App Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms as related to your license of the App against you as a third party beneficiary thereof.
